Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Synthos website at runsynthos.com and the operations platform at app.runsynthos.com (collectively, the “Service”), operated by Run Synthos LLC (“Run Synthos LLC,” “Synthos,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

Synthos provides an operations platform for Amazon sellers. With your authorization, the Service connects to your Google account to read order and purchase confirmation emails, extracts structured order data from them, and presents that data through order-tracking and leakage-detection features.

We may add, modify, or discontinue features of the Service at any time. We will make reasonable efforts to keep the Service available but do not guarantee uninterrupted or error-free operation.

To use the Service you must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current.

You are responsible for ensuring that your use of the Service — including connecting any Google account and processing order data — complies with all agreements and policies that apply to you, including those of Google and Amazon.

You agree not to:

• Use the Service for any unlawful, fraudulent, or unauthorized purpose, or in violation of any applicable law or regulation.
• Access or attempt to access accounts, data, or systems that you are not authorized to access, or connect a Google account you do not own or have permission to use.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or networks, including by introducing malware or circumventing security measures.
• Reverse engineer, scrape, resell, or create derivative works from the Service except to the extent permitted by law.
• Use the Service to infringe the intellectual property or privacy rights of others.

We may suspend or terminate access for any violation of these Terms.

When you connect your Google account, you authorize the Service to access your Gmail messages on a read-only basis solely to provide the features described in these Terms and our Privacy Policy. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You may revoke this access at any time via myaccount.google.com/permissions.

The Service, including its software, design, text, and branding, is owned by Run Synthos LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain all rights to your own data; you grant us the rights necessary to process that data to operate and provide the Service.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any data, analysis, or leakage detection it provides will be accurate or complete. You are responsible for your own business decisions made using the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUN SYNTHOS LLC AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Run Synthos LLC and its owners and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your data, or your violation of these Terms or any applicable law or third-party rights.

You may stop using the Service and disconnect your Google account at any time. We may suspend or terminate your access to the Service at our discretion, including for violation of these Terms. Upon termination, the rights granted to you under these Terms will end, and we will handle your data as described in our Privacy Policy.

These Terms are governed by the laws of the State of Pennsylvania, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in or serving Bensalem, Pennsylvania (Bucks County), unless otherwise required by applicable law.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
